Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website located at maximum.com and any related pages, content, and features we make available through it (collectively, the “Site”), which is operated by Maximum Technologies, Inc. (“Maximum,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.

1. About the Site and Scope of These Terms

The Site is an informational and marketing website intended for a business and professional audience. It provides general information about Maximum, our technology, and our company.

The Site is not the platform through which Maximum delivers services to its clients. Maximum’s products and services, including any client platform, application programming interfaces, or portal, are governed exclusively by the separate written agreement(s) between Maximum and the applicable client (each, a “Client Agreement”). Nothing on the Site, and nothing in these Terms, creates any right to access or use Maximum’s products or services, modifies any Client Agreement, or creates any relationship between Maximum and any client’s own customers or end users.

2. Eligibility

The Site is intended for users who are at least 18 years old and are accessing the Site for business or professional purposes. By using the Site, you represent that you meet these requirements and that any information you provide is accurate.

3. No Advice; Informational Purpose Only

Content on the Site, including any articles, white papers, guides, regulatory commentary, or similar materials, is provided for general informational purposes only. It does not constitute legal, regulatory, compliance, financial, investment, accounting, or other professional advice, and it is not a substitute for advice from qualified professionals. “Maximum,” the Maximum logo, and other Maximum names, marks, and logos are trademarks of Maximum Technologies, Inc. You may not use these marks without our prior written permission. Other names and marks appearing on the Site are the property of their respective owners.

You agree that you will not, and will not attempt to:

  • use the Site for any unlawful purpose or in violation of these Terms or any applicable law or regulation;
  • access, tamper with, or use non-public areas of the Site or Maximum’s systems or networks without authorization;
  • probe, scan, or test the vulnerability of the Site or breach or circumvent any security or authentication measures;
  • interfere with or disrupt the Site, including by introducing malware, launching a denial-of-service attack, or imposing an unreasonable load on our infrastructure;
  • use any automated means (such as bots, scrapers, or crawlers) to access or collect data from the Site;
  • harvest or collect information about other users, or impersonate any person or entity or misrepresent your affiliation; or
  • copy, frame, mirror, or otherwise reproduce any part of the Site except as expressly permitted by these Terms.

We may investigate and take appropriate action, including restricting or terminating access and reporting to law enforcement, in response to any actual or suspected violation.

Please do not send us any confidential or proprietary information as Feedback; any Feedback will be treated as non-confidential.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, MAXIMUM DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. MAXIMUM DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF HARMFUL COMPONENTS. MAXIMUM MAKES NO WARRANTY REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT, AND YOUR USE OF AND RELIANCE ON THE SITE AND ITS CONTENT ARE AT YOUR OWN RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAXIMUM OR ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ITS CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT MAXIMUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify, defend, and hold harmless Maximum and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Site or your violation of these Terms or of any applicable law or the rights of any third party.

15. Changes to the Site and to These Terms

We may modify, suspend, or discontinue any part of the Site at any time without notice. We may also revise these Terms from time to time. The “Effective date” above indicates when these Terms were last revised. Changes are effective when posted, and your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of those courts.

17. General

Entire agreement. These Terms, together with the Privacy Policy and any other policies referenced here, constitute the entire agreement between you and Maximum regarding the Site and supersede all prior understandings regarding the Site. For the avoidance of doubt, these Terms do not supersede any Client Agreement, which governs Maximum’s products and services.

Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.

Relationship. Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Maximum.

18. Copyright Complaints (DMCA)

If you believe content on the Site infringes your copyright, please send a notice with the information required under the Digital Millennium Copyright Act to legal@maximum.com.
